Dividend vs. Distribution

What it is

A dividend is a payment from a C-corp's after-tax profits. A distribution is a payment from a pass-through entity (LLC, S-corp, partnership) that has already been taxed at the owner level.

What it really means

The difference is the difference between double taxation and single taxation. It matters more than most owners realize.
